You appear to be engaged in a contractual dispute with your licensee.  These are generally governed by your AR agreement.  At this point, your observation of “lawyering up” is probably your most prudent option. Reach out to us if one of our lawyers can be of assistance with the application.

Whether you need an AFSL or can be authorised by another AFSL holder depends on what business you intend to operate
